Payment Terms & Conditions

Hillyarn is the wholesale brand of Perfect Picks Enterprises, Nepal. We accept international payments through the following approved channels:

• International Bank Wire / SWIFT Transfer: Direct transfer to the official business bank account of Perfect Picks Enterprises in Nepal.
• NIC ASIA CyberSource: Eligible online card payments processed through a secure Digital Invoice and Payment Link issued from our authorized CyberSource merchant dashboard.

Card payments may support Visa, Mastercard, Apple Pay, and Google Pay where the relevant payment options are activated and available.

CyberSource Digital Invoices are primarily offered for samples and smaller wholesale orders for customer convenience. Bank Wire Transfer is preferred for larger wholesale orders.

Hillyarn specializes in handmade, made-to-order wholesale production. Unless otherwise agreed in writing, the following standard payment arrangements apply:

Sample development charges and sample shipping costs, where applicable, will be quoted and agreed separately.

Production begins only after the agreed payment is verified, the required product specifications or samples are approved, and the buyer has accepted the applicable order terms.

The estimated production period is generally 21–50 days after the required approvals, depending on the order.

Unless otherwise stated in writing, wholesale quotations issued by Hillyarn remain valid for 30 calendar days from the date of issue.

If an order is not confirmed within the quotation validity period, a revised quotation may be required based on material costs, exchange rates, shipping costs, and other relevant factors.

Once confirmed, the order price will follow the accepted Proforma Invoice and any subsequent written amendments.

For eligible online payments, Hillyarn issues a Digital Invoice and secure Payment Link directly through the authorized NIC ASIA CyberSource merchant dashboard.

1. Hillyarn provides the buyer with a Proforma Invoice or sample invoice showing the agreed products, quantities, prices, and charges.
2. The buyer reviews and expressly accepts the applicable order terms and policies in writing.
3. Hillyarn issues the corresponding CyberSource Digital Invoice and Payment Link.
4. The buyer completes payment through the authorized payment interface.
5. Hillyarn verifies the transaction status and applicable settlement information before proceeding.

Before a payment request is issued, the buyer must review and expressly accept the applicable:

• Proforma Invoice and agreed product specifications.
• Quantities, prices, and payment schedule.
• Production and shipping arrangements.
• Wholesale Terms & Conditions.
• Payment Terms & Conditions.
• Return, Refund & Cancellation Policy.
• Governing law and jurisdiction provisions specifying Nepal.

Acceptance should be documented through a signed invoice, written email confirmation, or another verifiable electronic agreement.

Payment alone does not automatically establish acceptance of contractual terms that were not disclosed before payment.

All payments are subject to verification through the relevant bank or payment provider.

• A bank transfer receipt, SWIFT message, or payment screenshot alone does not confirm final receipt of funds.
• Card authorization alone does not necessarily mean a transaction has been captured or settled.
• Card authentication, including 3D Secure where applicable, depends on the issuing bank, payment provider, and transaction.
• Hillyarn may request reasonable verification for unusual or suspicious transactions.
• An order may be held until relevant payment and security concerns are resolved.

Wholesale quotations and invoices are generally issued in United States Dollars (USD), unless otherwise agreed.

• Buyers are responsible for sending-bank fees and intermediary bank charges allocated to them under the agreed payment instructions.
• Any payment shortfall caused by banking deductions must be resolved according to the accepted invoice.
• Currency conversion charges and exchange rate differences may be applied by the buyer’s bank or payment provider.
• Import duties, destination taxes, and customs clearance charges are generally the buyer’s responsibility unless otherwise agreed in writing or required by applicable law.

Shipping charges will be quoted separately or clearly included in the applicable invoice.

Before Production Begins

Where cancellation is accepted before production begins, actual documented costs already incurred and non-refundable commitments made specifically for the order may be deducted from the advance payment. Any remaining refundable balance will be returned subject to applicable law.

After Production Begins

Once production has commenced on a confirmed made-to-order wholesale order, the buyer may not ordinarily cancel the order or reduce the confirmed quantity unilaterally.

Under the expressly accepted cancellation terms, the buyer remains responsible for 100% of the confirmed order value if cancellation is requested after production begins, unless Hillyarn agrees otherwise in writing, subject to applicable law.

Advance payments will be applied toward the order value. Any outstanding balance remains payable under the agreed contract to the extent legally enforceable.

These terms do not exclude valid remedies for Hillyarn’s own breach, verified non-conforming goods, or mandatory legal rights.

The standard wholesale MOQ is 50 pieces per design, unless otherwise agreed in writing.

Cardholders may raise disputes through their issuing banks under applicable card network rules, including disputes concerning unauthorized payments, duplicate charges, non-delivery, or significant discrepancies.

Buyers are encouraged to contact Hillyarn at info@hillyarn.com promptly so that payment or order concerns can be reviewed.

In the event of a formal dispute, Hillyarn may provide relevant supporting evidence through NIC ASIA Bank or the applicable payment provider.

Evidence may include the accepted Proforma Invoice, buyer’s written approval, Digital Invoice reference, transaction record, product specifications, production records, shipping documents, courier tracking, and delivery confirmation.

Chargeback fees, settlement holds, temporary debits, payment reversals, and dispute outcomes are governed by the applicable merchant agreement and card network rules.

Approved refunds for CyberSource card payments will normally be processed through the original authorized payment gateway and payment method, subject to the acquiring bank’s requirements.

Approved Bank Wire / SWIFT refunds will be processed through lawful banking channels using verified beneficiary details.

Refund processing times depend on the relevant banks and payment providers. Applicable fees and currency conversion differences may affect the final amount, subject to the agreed terms and applicable law.

Buyers should notify Hillyarn promptly if they believe a payment has been duplicated, incorrectly charged, or sent to an incorrect account.

Verified erroneous or duplicate payments will be reviewed and corrected through the appropriate payment channel in accordance with applicable payment rules and law.

Wholesale contracts and related transactions with Hillyarn shall be governed by the laws of Nepal.

The parties agree that the competent courts of Nepal shall have exclusive jurisdiction over contractual disputes arising from wholesale orders, payments, production, delivery, cancellation, returns, and refunds.

Buyers agree to bring contractual proceedings against Hillyarn before the competent courts of Nepal rather than foreign courts.

Hillyarn does not consent to foreign court jurisdiction unless expressly agreed in a separate written contract.

Buyers must expressly accept these provisions before order confirmation.

The version of this policy expressly accepted at order confirmation will form part of the agreed order terms, subject to applicable law.

Material changes will not be applied retroactively to confirmed orders without agreement, except where legally required.

Any special payment, cancellation, or refund arrangement must be documented in writing by authorized representatives.
